This Agreement is made
and entered into by and between USAonline,
Inc., WhiteHorse Communications, HiLine,
Texas Online, et al (hereafter USA) and
Subscriber.

of this Agreement, and upon the payment
of all fees and charges required to be paid
to USA, Subscriber shall have the right
to utilize the services of USA to access
the Internet. However, this access is conditioned
upon and shall be governed by the terms
and conditions contained in this Agreement.
By accessing USA, the Subscriber accepts
all terms and conditions contained herein.
Charges. Subscriber agrees to timely payment
of all charges, as set forth in this Agreement,
to USA. All charges shall be paid using
a major credit card, i.e. MasterCard, Visa,
American Express or Discover, unless other
arrangements have been made with USA for
the payment of the charges. In addition,
the following terms and conditions will
apply.
I. The installation charges plus one months
complete charges in advance will be paid
at the time your services are ordered or
at the time services are initiated. These
charges are non-refundable.
II. All charges must be paid within thirty
(30) days in advance. Failure of timely
payment of all charges within thirty (30)
days of the date of invoice constitutes
an event of default under the terms of this
Agreement. Upon default, Subscriber's service
is subject to disconnection without notice
to Subscriber. In the event USA agrees to
restore service to Subscriber, a reconnection
charge in the amount of $50.00 will be charged.
This charge, plus all past due amounts owed,
must be paid in full, before restoration
of service to USA will occur. Upon default,
credit will no longer be extended by USA
to Subscriber
III. USA may change the terms and conditions
of this Agreement and the charges for any
service it provides to Subscriber at any
time, with thirty (30) days prior notification
to Subscriber. The notice to Subscriber
may be made by e-mail of facsimile transmission.
By executing this Agreement, Subscriber
agrees to pay all new charges without prior
approval. In the event Subscriber is dissatisfied
with the amount of charges or any other
term and condition contained in this Agreement,
or any term and condition subsequently changed
by USA, then Subscriber's only remedy is
to cancel and terminate this Agreement in
accordance with the termination provisions
of this Agreement.
IV. USA may change the services provided
pursuant to this Agreement at any time with
thirty (30) days prior notification to Subscriber.
The notice to Subscriber may be made by
email or facsimile transmission.
Telephone Charges. Subscriber shall be solely
responsible for all telephone and telecommunication
changes, charges and fee for connecting
directly to USA. USA assumes no responsibility
or liability for any telephone charges,
including but not limited to long distance
charges, permitted user charges and/or equipment's
online costs incurred by Subscriber while
accessing USA or the Internet and such changes
are the sole responsibility of Subscriber.
Any disputes regarding telephone services
or bills are strictly between the Subscriber
and Subscriber's telephone company and/or
long distance provider.
Term. This Agreement shall remain in full
force and effect for one (1) year. This
contract is automatically renewed on the
anniversary date, under the same terms,
conditions and pricing, unless thirty (30)
days' prior written notice is given.
Termination. USA may terminate this Agreement
upon default by Subscriber in the performance
of any of Subscriber's obligations pursuant
to this Agreement. The waiver by USA of
any act of default by Subscriber shall not
constitute a waiver of any subsequent default.
Subscriber or USA may terminate this Agreement,
by giving thirty (30) days written notice.
Notice of termination may be provided by
e-mail or facsimile transmission. Subscriber
will not be entitled to receive any refund
for any used or unused time. Subscriber
shall be liable for the payment and all
fees due on the remainder of this one (1)
year Agreement. Upon termination of this
Agreement or the services contemplated hereunder,
Subscriber must either return all USA software
to USA or otherwise destroy it.

of any law or regulation by Subscriber or

for any other networks accessed through

for the accuracy, quality or content of
information obtained through its services.

protected by copyright without the permission
of the copyright owner. Only public domain

express consent for on-line distribution
may be uploaded to the software libraries
or other files by Subscriber. Any other
software may not be uploaded to the USA
